This End User License Agreement (“EULA”) is a legal agreement between you (“you”, “your”) and [Ruhani Rabin] (“we”, “us”, “Licensor”) governing your access to and use of the PlaceScale Pro WordPress plugin (the “Plugin”) and any related services (including license key validation, update delivery, and support channels).

By installing, activating, accessing, or using the Plugin, you agree to this EULA. If you do not agree, do not install or use the Plugin.

If you use the Plugin on behalf of an organization, you represent you have the authority to bind that organization to this EULA.

1) Open-source notice (GPL)

The Plugin is distributed under the GNU General Public License v2 or later (“GPL”). Nothing in this EULA is intended to limit, restrict, or remove any rights you have under the GPL for the Plugin code itself.

This EULA primarily governs commercial terms and non-code aspects, including (where applicable) license keys, update access, support services, hosted portals, and trademark/brand usage.

2) Definitions

“Plugin”: PlaceScale Pro, including its files, documentation, and any updates we provide.
“Site”: One WordPress installation (typically one production domain).
“License Key”: A unique key issued by us to enable updates and Pro functionality and validate entitlement.
“Entitlement”: Your right to receive updates, support, and access to Pro features, based on what you purchased.
“Lifetime License”: A license sold as a “lifetime deal” (see Section 4).
“Subscription License”: A time-limited license (e.g., annual) (see Section 4).

3) License grant (commercial terms)

Subject to your compliance with this EULA and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to:

Install and use the Plugin on the number of Sites allowed by your purchase/tier; and
Access updates and support only for the term and scope of your Entitlement.

No sale of intellectual property. This EULA does not transfer ownership of the Plugin, our brand assets, or our systems.

4) License types, term, renewals

4.1 Lifetime License (lifetime deal)

A Lifetime License grants Entitlement for as long as we continue to maintain and commercially offer PlaceScale Pro as a product.

“Lifetime” refers to the product’s commercial lifetime, not your lifetime.
We may discontinue the product, end-of-life a major version, or replace it with a new product line. If we do, we may (at our option) offer a transition path, but we are not obligated to provide indefinite updates beyond the product’s commercial lifetime.

4.2 Subscription License (annual)

A Subscription License grants Entitlement for the subscription term (e.g., 12 months from purchase) and may renew according to your checkout settings.

If you do not renew (or payment fails), Entitlement ends at the end of the paid term.

4.3 What happens when Entitlement ends

If Entitlement ends (expiration, cancellation, chargeback, refund, or termination), you may still keep using the Plugin code under the GPL, but you may lose access to:

Pro-only features gated by license checks,
updates delivery,
support services/portals.

5) License key, activation, and verification

5.1 Verification

The Plugin may periodically verify your License Key and permitted Site count to enable Pro features and updates.

5.2 Data sent during verification

Verification may transmit limited technical and licensing data needed to operate licensing and updates (for example: Site URL/domain, WordPress environment details, server/PHP details, Plugin version, and key status).

Processing of this information is governed by our Privacy Policy.

5.3 No circumvention

You may not bypass, disable, interfere with, or attempt to defeat license checks, update mechanisms, or feature gating, including by modifying the Plugin for that purpose.

6) Updates and changes to the Plugin

We may release updates that include fixes, security patches, compatibility changes, feature changes, or removals.

Updates are provided only while you have active Entitlement (except where legally required).
You are responsible for backups and testing updates (recommended: test on staging first).
We do not guarantee that all prior functionality will remain unchanged across updates.

7) Support

Support is provided according to our Support Policy and your license tier/Entitlement.

We may require proof of purchase and/or a valid License Key to provide Pro support.
We may refuse support for modified, nulled, or illegally distributed copies or for issues caused by third-party conflicts outside our reasonable control.

8) Your content and SEO outcomes

The Plugin can generate or help publish content/pages at scale, including using templates and placeholders. You acknowledge and agree:

You are responsible for all content you create, import, generate, publish, and distribute using the Plugin.
You are responsible for compliance with applicable laws, regulations, and platform/search engine policies.
We do not guarantee rankings, indexing, traffic, conversions, or avoidance of algorithmic actions, duplicate-content issues, or penalties.
You should review generated outputs for accuracy, claims, pricing, regulated services, and location-specific requirements before publishing.

9) Restrictions

Except to the extent permitted by applicable law or the GPL, you may not:

Resell, rent, lease, sublicense, or transfer License Keys or commercial entitlements;
Provide the Plugin as part of a hosted/managed service where third parties receive Pro entitlements without purchasing appropriate licenses (unless your tier explicitly permits it);
Remove or obscure licensing notices, ownership notices, or trademarks;
Use the Plugin to perform unlawful acts, distribute malware, or compromise systems;
Attempt to gain unauthorized access to our systems, portals, or infrastructure.

Trademark/branding: The GPL does not grant rights to our trademarks, brand, or product naming. You may not present yourself as the Licensor or as an official distributor of our commercial entitlements.

10) Third-party components and services

The Plugin runs on WordPress and may interoperate with themes, plugins, hosts, and third-party services. We are not responsible for third-party products, outages, changes, or incompatibilities.

11) Privacy

Your use of the Plugin and related services is subject to our Privacy Policy, including how we collect and process licensing/verification data.

12) Disclaimer of warranties

To the maximum extent permitted by law, the Plugin and related services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

13) Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or SEO performance arising from or related to the Plugin or services.

Where liability cannot be excluded, our total aggregate liability will be limited to the amount you paid for the Plugin in the 12 months before the event giving rise to the claim (or the minimum amount allowed by law, if greater).

14) Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

your content and use of the Plugin,
your generated pages/content,
your violation of this EULA, the GPL, or applicable law.

15) Termination

We may suspend or terminate your Entitlement (including License Key access) if you:

breach this EULA,
attempt to circumvent licensing,
engage in fraud, chargebacks, or abuse of refunds,
misuse support channels or our systems.

Upon termination, Sections that by nature should survive will survive (including ownership, restrictions, disclaimers, limitation of liability, indemnification, and governing law).

16) Refunds

Refund eligibility (if any) is governed by our Refund Policy. If you receive a refund, your Entitlement ends and you must stop using any commercial entitlements (License Key, updates, support).

17) Changes to this EULA

We may update this EULA from time to time. The updated EULA applies from the “Last updated” date. Continued use after an update constitutes acceptance.

18) Governing law and venue

This EULA is governed by the laws of JURISDICTION, excluding conflict-of-law rules. Any disputes will be resolved in the courts of VENUE, unless applicable law requires otherwise.
